Terms of Service

Agreement to these terms

By requesting, purchasing, or using services provided by Ebony Mitchell, you agree to these Terms of Service. Additional written terms may apply to a specific project, proposal, invoice, or service agreement.

Services

Services may include web development, software development, website maintenance, technical support, automation solutions, IT consulting, and related professional technology services.

The exact scope, timeline, deliverables, and price for each project will be described in writing before work begins.

Client responsibilities

Clients are responsible for providing accurate information, timely feedback, required content, account access, approvals, and other materials needed to complete the service.

Delays in receiving required information or feedback may result in changes to the project timeline.

Payments

Payment terms will be stated in the applicable invoice, proposal, or service agreement. Payment may be required in full or in scheduled installments depending on the project.

Work may be paused when a payment becomes overdue. Final deliverables may be withheld until all outstanding balances are paid.

Revisions and scope changes

Included revisions will be described before work begins. Requests outside the agreed scope may require additional fees and a revised timeline.

Client content and materials

Clients confirm that they have the legal right to use any content, images, logos, files, software, account credentials, or other materials they provide.

Clients are responsible for claims arising from materials they provide without proper authorization.

Intellectual property

Ownership of final deliverables will be described in the applicable proposal or service agreement. Unless otherwise agreed in writing, ownership transfers only after full payment has been received.

Preexisting tools, templates, code libraries, systems, methods, and general knowledge remain the property of their original owner.

Third-party services

Some projects may rely on third-party platforms, hosting providers, software, plugins, APIs, payment processors, or other services.

We are not responsible for outages, policy changes, price changes, account suspensions, security incidents, or failures caused by third-party providers.

No guarantees

Services will be performed with reasonable care and professionalism. However, no specific business result, revenue increase, search ranking, employment outcome, uninterrupted operation, or error-free performance is guaranteed.

Limitation of liability

To the fullest extent permitted by law, Ebony Mitchell will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of services.

Total liability related to a service will not exceed the amount paid by the client for the specific service giving rise to the claim.

Termination

Either party may end a service relationship by providing written notice. The client remains responsible for payment for work completed and expenses incurred before termination.

Changes to these terms

These terms may be updated from time to time. The effective date shown above indicates the most recent version.
